WRc plc Freeware Licence

1. Definitions

"WRc" means WRc plc whose registered office is at Frankland Road, Blagrove Swindon, Wiltshire SN5 8YF, UK. 

"Freeware Software" means WRc’s STOAT software program and all related documentation and all related updates

2. Licence

    This Licence permits you on a non-exclusive basis to:

    • Use the Freeware Software on a computer for your personal, academic or commercial purposes.
    • Make one copy of the Freeware Software in machine-readable form for back-up purposes only. All copyright notices and any other notices on the original must be reproduced on the copy in exactly the same format.

    You are not entitled to support although we will use reasonable endeavours at our discretion to remedy bugs in the Freeware Software.

    Any consultancy or assistance required in respect of the Freeware Software will be charged at WRc’s standard commercial rates.

    A user group may be established at WRc’s discretion if there is sufficient interest and uptake of the Freeware Software. The group would operate as a forum for discussion of possible upgrades.

    3. Restrictions

    You may not and will not permit others in any way to alter reverse engineer, decompile or otherwise disassemble derive the source code, or modify the Freeware Software or create derivative works.

    You may not modify rent sell transfer or distribute the Freeware Software or any part thereof.

    You may not use the Freeware Software for any illegal purposes or use the Freeware Software to engage in any activity that will violate the rights of any third party, including through the use, reproduction, distribution or modification of materials that infringe copyrights, trademarks or other proprietary rights.

    You may not install or use the Freeware Software on any computer that is or may be used for business-critical or life-safety applications and purposes or will in any way or by any means damage the operation of any third party’s services.

    You may not use WRc’s name or the Freeware Software to imply any endorsement or sponsorship by WRc.

    4. Ownership

    Copyright and other intellectual property rights in the Freeware Software and all associated documentation belong to WRc, except for any third party rights in software packages incorporated in the Freeware Software. You will acquire no ownership rights whatsoever in the Freeware Software or in any part of it.

    5. Disclaimer of Warranties and Technical Support

    The Freeware Software is provided to you free of charge and on an as is basis without any technical support or warranty of any kind including without limitation a warranty of satisfactory quality fitness for any particular purpose and non-infringement.

    6. Limitation of Damages

    Installation and use of the Freeware Software is entirely at your own risk. 

    WRc accepts no liability for any direct indirect special incidental or consequential damages or loss nor for any damages for loss of business loss of profits loss of anticipated savings loss of goodwill or opportunity nor for any other form of loss whatsoever whether based on breach of contract tort (including negligence) product liability or any other legal principle.

    7. General

    The no warranty and no liability provisions of this Licence are fundamental to the agreement between us. The Freeware Software would not be available
    as freeware without such limitations.

    If any court or competent authority finds any part of this Licence to be invalid unlawful or unenforceable in any jurisdiction then that part shall be deemed not to be a part of this Licence. Such part shall not affect the enforceability of the remainder of this Licence nor shall it affect the validity lawfulness or enforceability of that provision in any other jurisdiction.

    Each party hereby irrevocably agrees that the Courts of England shall have exclusive jurisdiction to resolve any controversy or claim of whatever nature out of or relating to this Licence or breach thereof and the Laws of England shall govern such controversy or claim.

    If you disagree now or in the future with any of its terms you must immediately discontinue use of the Freeware Software and uninstall it from your computer together with any back-up copy that has been made.

    You agree to read the Help File and any other included instructions or recommendations for use of the Freeware Software and agree to use the Freeware Software only in accordance with such instructions and recommendations.

    This Licence contains the complete agreement between the parties with respect to the subject matter hereof and supersedes all other oral or written agreements or understandings.
